General terms and conditions of sale

Preamble
These General Terms and Conditions of Sale (hereinafter the "GTCS") govern all commercial relationships between:

Represented by its President
(hereinafter "VirtuSpace" or "the Service Provider")
AND any professional client (craftsperson, trader, self-employed professional, commercial company, association or other legal entity acting for purposes falling within the scope of its business) who has signed a quote issued by VirtuSpace (hereinafter "the Client").
VirtuSpace addresses itself exclusively to a professional clientele. Any order placed by a consumer (within the meaning of the French Consumer Code) is subject to prior written acceptance by VirtuSpace and shall be governed by a specific framework in accordance with the applicable legal provisions.
Article 1 — Purpose
The purpose of these GTCS is to define the conditions under which VirtuSpace provides its audiovisual and digital services, in particular:
- 3D virtual tours produced with Matterport technology;
- Photographic and video captures (ground and drone);
- Production of social media content;
- Hosting and maintenance of the virtual tours produced;
- Any related services detailed in the quote signed by the Client.
Article 2 — Quote and order
2.1 — Issuance of the quote
Each project is the subject of a personalised quote, issued free of charge by VirtuSpace following a preliminary discussion with the Client. The quote details the nature of the service, the price excluding tax, the selected options, the expected lead time and the hosting duration of the virtual tour.
2.2 — Validity of the quote
The quote is valid for sixty (60) days from its date of issuance, unless otherwise stated on the quote itself. Beyond this period, VirtuSpace reserves the right to amend its prices and conditions.
2.3 — Acceptance
The order becomes firm upon the electronic signature of the quote by the Client, in accordance with European regulation eIDAS n°910/2014, art. 26 (advanced electronic signature). The electronic signature has the same legal value as a handwritten signature (French Civil Code, art. 1366).
Acceptance of the quote entails full and unreserved acceptance of these GTCS, which the Client acknowledges having read and accepted prior to signature.
Article 3 — Price
3.1 — Rates
Prices are stated in euros, excluding tax (HT) and inclusive of all taxes (TTC). VirtuSpace benefits from the VAT-based exemption scheme (article 293 B of the French General Tax Code); accordingly, VAT is not applicable and the price excluding tax equals the price inclusive of tax (VAT exempt under French art. 293 B).
3.2 — Revision
The prices stated on a signed quote are firm and non-revisable throughout the performance of the service, save for the written agreement of both parties.
3.3 — Additional services
Any additional service not provided for in the quote shall be the subject of a signed amendment prior to performance.
Article 4 — Payment terms
4.1 — Deposit
A deposit of thirty per cent (30%) of the total amount including tax is payable upon order, that is, within fourteen (14) days following signature of the quote.
The deposit is settled exclusively by bank transfer to the IBAN stated on the quote and within the client area. The Client undertakes to indicate in the transfer reference the unique reference communicated by VirtuSpace at the time of signature (e.g. VS-ACPT-2026-XXX).
4.2 — Balance
The balance, namely seventy per cent (70%) of the total amount including tax, is payable upon delivery of the service. It is invoiced on the day the deliverables are made available and payable by bank transfer within thirty (30) days of the invoice issuance date.
4.3 — Failure to pay the deposit
In the absence of payment of the deposit within thirty (30) days following the signature of the quote, and after a formal notice that has remained unanswered, the order shall be deemed cancelled by operation of law, without prejudice to VirtuSpace's right to claim damages.
4.4 — Late payment penalties (LME law)
In accordance with articles L.441-10 and D.441-5 of the French Commercial Code, any late payment automatically entails, without the need for a formal notice:
- The application of late payment penalties calculated on the basis of three (3) times the legal interest rate in force;
- A fixed indemnity for recovery costs of forty euros (€40) per unpaid invoice. Where the recovery costs actually incurred exceed this amount, VirtuSpace reserves the right to claim additional compensation upon supporting evidence.
4.5 — Retention of title
The deliverables (files, virtual tours, photographs, videos) shall remain the property of VirtuSpace until full payment of the price. The Client shall not use, distribute, exploit or modify these deliverables prior to full payment.
Article 5 — Performance of the service
5.1 — Lead times
Lead times are provided for indicative purposes. Any delay attributable to VirtuSpace of less than fifteen (15) working days shall not give rise to any indemnity.
5.2 — Client's obligations
The Client undertakes to:
- Communicate in due time all information necessary to perform the service (access to the shooting location, authorisations, technical constraints);
- Guarantee access to the shooting location on the agreed date;
- Hold the necessary legal authorisations (owner's consent, drone capture authorisation where applicable, etc.);
- Pay the sums due within the agreed deadlines.
5.3 — Force majeure
Neither VirtuSpace nor the Client may be held liable for any delay or non-performance resulting from a case of force majeure (weather conditions preventing a drone shoot, major equipment breakdown, sudden regulatory restrictions, etc.).
Article 6 — Cancellation and postponement
6.1 — Cancellation by the Client
Any cancellation initiated by the Client must be notified in writing (email or letter). The following cancellation fees apply, calculated on the total amount including tax of the service:
- More than 4 calendar days before the date of the shoot: 0% — free cancellation, deposit fully refunded;
- From 3 to 2 calendar days (D-3 to D-2): 30% of the total amount including tax retained;
- From 2 days to the day before (D-2 to D-1): 50% of the total amount including tax retained;
- On the day of the shoot (D-0) or in the event of the Client's absence/no-show at the agreed location: 100% of the total amount including tax retained.
These fees correspond to the resources mobilised by VirtuSpace (scheduling, travel, equipment) which cannot be reallocated within such short notice.
6.2 — Postponement by the Client
A postponement request made more than 4 days before the shoot is free of charge and may be made up to two (2) times at no cost. Beyond that, the cancellation fees set out in article 6.1 shall apply.
6.3 — Cancellation by VirtuSpace
In the event of cancellation by VirtuSpace for a reason other than force majeure, the deposit shall be fully refunded within seven (7) days, and VirtuSpace undertakes to propose a new date as soon as possible.
Article 7 — Delivery
7.1 — Provision of deliverables
The deliverables are made available to the Client within their secure client area on the virtu-space.com website. An automated email notifies the Client of their availability.
7.2 — Acceptance report
Upon access to the deliverables, the Client is invited to electronically sign an acceptance report attesting to the conformity of the deliverables with the order. In the absence of any reservation expressed in writing within seven (7) days following availability, the deliverables shall be deemed accepted without reservation.
7.3 — Hosting of the virtual tour
The 3D virtual tour is hosted free of charge for one (1) year from delivery. Beyond this period, the Client may take out an annual maintenance subscription to extend the hosting, the price of which is specified on the quote.
Article 8 — Intellectual property
8.1 — Assignment of rights
Subject to full payment of the price, VirtuSpace grants the Client a non-exclusive right to use the deliverables produced, for a use limited to its commercial activity (website, social networks, print materials).
8.2 — Reserved rights
VirtuSpace retains the intellectual property of the methods, techniques and know-how used. The Client shall not resell the deliverables to third parties without prior written agreement.
8.3 — Commercial reference
VirtuSpace reserves the right to cite the Client as a commercial reference (logo, name, screenshots of the virtual tour) on its website and communication materials, save for express written objection by the Client.
Article 9 — Liability
9.1 — Best-efforts obligation
VirtuSpace is bound by a best-efforts obligation in the performance of its services.
9.2 — Limitation
In any event, VirtuSpace's liability is limited to the amount including tax actually paid by the Client for the service concerned. Indirect damages are excluded from any compensation, in particular loss of operation, loss of turnover and loss of image.
Article 10 — Personal data
The personal data collected is processed in accordance with the privacy policy accessible on virtu-space.com. The Client has a right of access, rectification, erasure and portability of their data, which can be exercised at coorpvs@gmail.com.
Article 11 — Applicable law and disputes
11.1 — Applicable law
These GTCS are governed by French law.
11.2 — Mediation
In the event of a dispute, the parties undertake to seek a prior amicable solution. Failing agreement within a period of thirty (30) days, the dispute shall be brought before the competent courts.
11.3 — Jurisdiction
Any dispute relating to the interpretation or performance of these GTCS shall fall within the exclusive jurisdiction of the Toulouse Commercial Court (Tribunal de commerce de Toulouse), notwithstanding multiple defendants or third-party claims.
Article 12 — Miscellaneous provisions
12.1 — Amendment of the GTCS
VirtuSpace reserves the right to amend these GTCS at any time. The applicable GTCS are those in force at the date of signature of the quote.
12.2 — Partial invalidity
If any of the provisions of these GTCS were declared null or inapplicable, the remaining provisions would retain their full effect.
12.3 — Express acceptance
Affixing the electronic signature on a VirtuSpace quote constitutes full and unreserved acceptance of these GTCS.
